1. Acceptance of Terms
By accessing or using the Inzata platform and services ("the Services"), you agree to be bound by these Terms of Service ("Agreement"). If you do not agree to these terms, do not use the Services.
2. Description of Services
Inzata is an AI-powered data modeling platform that automatically converts raw data into optimized data models by identifying your data's structure and relationships. The Services include data analysis, model generation, SQL output, and integration with business intelligence tools. Inzata is available as a subscription and usage-based service.
3. User Accounts
To access the Services, you must register for an account. You agree to:
- Provide accurate and complete registration information.
- Maintain the confidentiality of your account credentials.
- Accept responsibility for all activities that occur under your account.
- Notify Inzata immediately of any unauthorized use of your account.
- Maintain secure credentials and ensure all authorized users comply with this Agreement.
4. Data Ownership
You retain all rights to your data. By using the Services, you grant Inzata a limited license to process your data solely for the purpose of providing the Services. Inzata does not claim ownership over any data models generated from your data.
5. Acceptable Use
Your use of the Services is subject to the Acceptable Use Policy, which is incorporated into this Agreement by reference.
6. Intellectual Property
The Services, including their design, features, and content, are owned by Inzata and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Services without Inzata's prior written consent.
Inzata retains all rights, title, and interest in and to:
- The Services and all related software.
- APIs and developer tooling.
- Documentation and training materials.
- Trademarks, trade dress, and branding.
- AI models and algorithms.
- All other proprietary technology.
No ownership rights are transferred to Customer under this Agreement.
7. Suspension and Termination
Inzata may suspend or terminate a Customer's access to the Services for any of the following reasons:
- Non-payment of fees when due.
- Security risks or vulnerabilities caused by the Customer.
- Violation of any provision of this Agreement.
- Unlawful conduct or abusive activity.
Upon termination, the Customer remains responsible for all fees accrued through the termination date. Prepaid fees are non-refundable except as expressly stated in the Refund and Cancellation Policy.
8. AI Features and Outputs
Certain Services may include AI-generated outputs, recommendations, predictions, summaries, or analyses. Customer acknowledges and agrees that:
- AI outputs may contain inaccuracies or errors.
- AI-generated outputs require human review and verification before reliance.
- AI-generated content is probabilistic in nature and is not guaranteed to be correct, complete, or suitable for any specific purpose.
Customer is solely responsible for all decisions made using AI-generated outputs. See the Responsible AI Policy for additional guidance.
9. Service Availability
Inzata will use commercially reasonable efforts to maintain Service availability but does not guarantee uninterrupted or error-free operation. Service availability may be affected by:
- Scheduled maintenance and planned upgrades.
- Unplanned outages or third-party service failures.
- Force majeure events beyond Inzata's reasonable control.

10. Privacy
Use of the Services is governed by the Privacy Policy, which is incorporated into this Agreement by reference.
11. Third-Party Services
The Services may integrate with or connect to third-party products, platforms, or services. Inzata is not responsible for:
- The functionality or quality of third-party products or services.
- The availability or uptime of external systems.
- The data practices or privacy policies of third parties.
Use of any third-party service is governed by that third party's own terms and conditions.
12. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by applicable law, Inzata expressly disclaims all warranties, whether express, implied, or statutory, including warranties of:
- Merchantability.
- Fitness for a particular purpose.
- Non-infringement.
- Accuracy, reliability, or completeness of results obtained through the Services.
Inzata does not warrant that the Services will be error-free, that AI outputs will be accurate, or that the Services will meet Customer's specific expectations or requirements.
13. Limitation of Liability
13.1 Exclusion of Damages
To the maximum extent permitted by applicable law, and except for bodily injury of a person, Inzata, its suppliers (including cloud infrastructure and technology providers), officers, affiliates, representatives, contractors, and employees shall not be liable under any contract, tort (including negligence), strict liability, or other legal theory for:
- Any error or interruption of use, loss of use, loss or inaccuracy of data, data corruption, system downtime, or cost of procurement of substitute goods, services, or technology.
- Any indirect, incidental, special, punitive, consequential, or exemplary damages, including lost profits, lost revenue, or loss of business, whether or not Inzata has been advised of the possibility of such damages.
- Any disclosure of Customer data arising from Customer's own configurations, settings, or actions.
- Any matter beyond Inzata's reasonable control.
13.2 Aggregate Cap
Except for bodily injury of a person, Inzata's total aggregate liability arising out of or relating to this Agreement shall not exceed the fees actually paid by Customer to Inzata for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
13.3 Survival
The foregoing limitations shall apply regardless of whether any remedy fails of its essential purpose and shall survive the termination or expiration of this Agreement.
14. Indemnification
Customer shall indemnify, defend, and hold harmless Inzata and its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Customer's use of the Services in violation of this Agreement.
- Customer data uploaded to or processed through the Services.
- Customer's violation of applicable laws or regulations.
- Infringement claims arising from Customer's content or conduct.
15. Chargebacks and Billing Disputes
Before initiating a chargeback or payment dispute with your financial institution, Customer must contact Inzata directly to resolve the issue in good faith. Billing disputes and refund requests are governed by the Refund and Cancellation Policy.
16. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be resolved exclusively in the state or federal courts located in Polk County, Florida, and each party consents to the personal jurisdiction of such courts.
17. Entire Agreement
This Agreement, together with the Privacy Policy, Acceptable Use Policy, Service Level Agreement, Refund and Cancellation Policy, and any applicable Order Forms, constitutes the complete and exclusive agreement between the parties with respect to the Services and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
18. Changes to Terms
Inzata reserves the right to modify these Terms at any time. Inzata will notify Customers of material changes by posting the updated Terms on its website and, where practicable, by email. Continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.
